In these terms and conditions the following definitions apply unless otherwise stated:
‘Beneficiary’ means the individual or business entity who purchases Services from the Provider and whose details are set out in the Order.
‘Provider’ means DISTRIBUTE DIGITAL LTD, a Company incorporated in England and Wales under Company number 12136431 whose registered office is at GROSVENOR HOUSE 11 ST PAULS SQUARE, BIRMINGHAM B3 1RB, trading as DISTRIBUTE DIGITAL.
It is not necessary for any Beneficiary to have signed an acceptance of these terms and conditions for them to apply. If a Beneficiary accepts a quote then the Beneficiary will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full.
Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.
Staffordshire County Council are the referring body. SCC assess the application form that a business submits and if successful refers to the specific Provider. SCC then expect the Provider and the business to work together to achieve the required outcome(s). Once the work is complete both the Provider and business sign a form to say the work has been completed and both sides are happy with the work delivered.
The maximum cost for each service type is £1000 (one thousand pounds).
Beneficiary businesses will be given the option to contribute additional funds if they require enhanced design features, additional pages etc. Any enhanced works beyond the Contract Price must be negotiated between the Provider and the beneficiary business prior to the commencement of works and will be paid for directly by the beneficiary business.

The price quoted includes the incorporation of the client's colour scheme and the use of their existing logo. However, if the client desires a new logo, an extra charge will be incurred.
Clients will be asked to provide any preferred images or fonts. Only license-free fonts will be used.
Hosting
The Provider offers three months of complimentary hosting with every website project. After this period, the Beneficiary may either:
•Continue hosting with the Provider at £14.99 per month; or
•Arrange their own hosting with another provider.
If the Beneficiary chooses another hosting provider, the Provider will assist with the transfer of the website. Responsibility for ongoing hosting, maintenance and any required premium software subscriptions will then pass to the Beneficiary, subject to any separately agreed services.
Elementor Pro licence coverage is included while the website is hosted by the Provider, including during the complimentary hosting period, as explained below.
Hosting and licence coverage do not include ongoing website maintenance or the installation of WordPress, theme or plugin updates unless expressly included in a separately agreed support package.
Premium Plugins and Software Licences
The Provider uses WordPress and may use premium third-party software, including Elementor Pro, to design and build the Beneficiary’s website. Such software may require an active paid subscription for updates, supplier support and access to certain features.
Where Elementor Pro is used, the Provider will supply licence coverage for the website throughout the initial three-month complimentary hosting period and any subsequent paid hosting arrangement, provided hosting payments remain up to date. This coverage does not transfer the Provider’s subscription, account or licence key to the Beneficiary.
If the Beneficiary chooses to host the website elsewhere, either from the outset or after hosting with the Provider, the Beneficiary must obtain and maintain an appropriate Elementor Pro subscription, or arrange equivalent licence coverage through their chosen provider. These subscription costs are not included in the website development fee.
The anticipated subscription for a standard website is Elementor Pro Advanced Solo, advertised at the time of drafting at £6 per month, billed annually at £72, subject to any applicable taxes. Prices, subscription names and included features are set by Elementor and may change. Before the Beneficiary commits to the project, the Provider will confirm the subscription required for the agreed website and its current indicative cost. Any additional premium software costs introduced during the project will require the Beneficiary’s prior agreement.
The Provider may disconnect its Elementor Pro licence when the website is handed over to an external hosting provider or the Provider’s hosting service ends. The Provider will confirm the disconnection date in advance and provide reasonable guidance on connecting a replacement licence. Disconnecting the licence does not mean that the Provider will delete the installed plugin or website content.
Without appropriate active licence coverage, updates, supplier support and certain premium editing functions or services may be unavailable. Compatibility and security issues may also arise over time. The Beneficiary is responsible for maintaining replacement licence coverage once the Provider’s coverage ends.
Any request to rebuild or adapt the website to remove its reliance on premium software must be agreed separately, including any additional charges, before that work begins.

Beneficiary Revisions
The Provider will provide the Beneficiary with an opportunity to review the appearance and content of the website or the logo and branding materials during the design phase and once the overall work is completed.
At the completion of each stage, such materials will be deemed to be accepted and approved unless the Beneficiary notifies The Provider otherwise within seven (7) days of the date the materials are made available to the Beneficiary.
We will endeavour to ensure that the Beneficiary is happy with the materials design or final development of the website. To ensure this we offer a specific number of revisions at all stages. A revision refers to a complete set of changes requested by the Beneficiary. For example, if there are two revisions, the Beneficiary will provide a comprehensive list of modifications. The provider will then proceed to implement all the requested changes and submit the revised version for approval. If the Beneficiary wishes to make further alterations, they can submit an additional revision containing the final set of changes. Any changes beyond the specified number of revisions will incur an additional cost.
For clarity once the design phase revisions are complete, the beneficiary will be required to sign off the designs. The Development Phase will then commence, any future design changes requested will incur additional costs.
WEB DESIGN AND DEVELOPMENT
•Design Phase: 2 revisions
•Development Phase: 2 revisions
LOGO AND BRANDING
•Logo Design - 3 variants: 2 revisions
•Brand Guidelines: 2 revisions
•Digital Design for use on social media platforms: 1 revision
•Printed Material Design: 1 revision
If additional revisions are requested additional charges will apply.
The Provider will install and publicly post or supply the Beneficiary’s website by the date specified in the project proposal, unless a delay is specifically requested by the Beneficiary.
The Beneficiary agrees to delegate a single individual as a primary contact to aid the Provider with progressing the commission in a satisfactory and expedient manner. Delays in providing feedback in a timely manner will impact our ability to deliver the project to the agreed timelines and may negatively impact our ability to deliver the project to the timescales agreed. Delays caused by slow feedback are outside of the Provider’s control.
During the project, the Provider will require the Beneficiary to provide all text content for the website within a maximum deadline of two (2) weeks. This includes text, images, movies, and sound files to populate the website. Professional copywriting is available at an additional cost if needed.
Upon the successful completion of the project, the client shall not receive any assets, including but not limited to website files, design elements, or related materials, until they have signed the completion form. The completion form serves as an acknowledgement that the client is satisfied with the final product delivered. By signing this form, the client confirms their approval and acceptance of the project, thereby initiating the transfer of assets. This procedure ensures that both parties are aligned and that the client's contentment with the final deliverables is duly acknowledged and documented.
We ask that the Beneficiary provides all the required information at least one (1) week prior to the agreed commencement date. On any occasion where progress cannot be made with your project because we have not been given the required information in the agreed time frame, and we are delayed as a result, we reserve the right to change the agreed delivery date to one that is achievable based on the Provider’s current workload.
The Beneficiary will receive administrator access to the website’s WordPress content management system, allowing them to amend text and images, add blog posts and manage website content.
Access to certain premium editing features is subject to maintaining the appropriate software subscription, as explained in the Premium Plugins and Software Licences section.
Design changes and substantial content changes requiring additional development work can be provided at an additional cost. On request, the Provider will supply a quotation and estimated delivery timescale for approval before starting the work.
The Provider makes every effort to ensure websites are designed to be viewed by the majority of visitors. Websites are designed to work with the most popular current browsers (e.g. Firefox, Microsoft Edge, Google Chrome, etc.). The Beneficiary agrees that the Provider cannot guarantee correct functionality with all browser software across different operating systems.
The Provider cannot accept responsibility for web pages which do not display acceptably in obsolete versions or new versions of browsers released after the website has been designed and handed over to the Beneficiary. As such, the Provider reserves the right to quote for any work involved in changing the website design or website code for it to work with updated browser software.
All Provider services may be used for lawful purposes only. You agree to indemnify and hold Distribute Digital harmless from any claims resulting from your use of our service that damage you or any other party.
The Beneficiary retains the copyright to data, files and graphic logos provided by the Beneficiary, and grants the Provider the rights to publish and use such material. The Beneficiary must obtain permission and rights to use any information or files that a third party copyrights. The Beneficiary is further responsible for granting the Provider permission and rights for use of the same and agrees to indemnify and hold harmless the Provider from any and all claims resulting from the Beneficiary’s negligence or inability to obtain proper copyright permissions. A contract for website design and/or placement shall be regarded as a guarantee by the Beneficiary to the Provider that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested.
Unless otherwise specified in the project quotation, this agreement assumes that any text will be provided by the Beneficiary in electronic format via email or alternative electronic file transfer and that all photographs and other graphics will be provided in .gif, .jpeg, .png or .tiff format. Although every reasonable attempt shall be made by the Provider to return to the Beneficiary any images or printed material provided for use in the creation of the Beneficiary’s website, such return cannot be guaranteed.
An optional link to the Provider will appear in either small type or a small graphic at the bottom of the Beneficiary’s website. If a graphic is used, it will be designed to fit in with the overall site design. If a Beneficiary requests, the design credit will be removed. The Beneficiary also agrees that the website developed for the Beneficiary may be presented in the Companies design portfolio. If the Beneficiary wishes to not appear in the Companies design portfolio, or services are provided under an NDA, this will be honoured by the Provider.
If the Beneficiary’s website is to be installed on a third-party server, the Provider must be granted temporary read/write access to the Beneficiary’s storage directories which must be accessible via FTP. Depending on the specific nature of the project, other resources might also need to be configured on the server.
The Provider cannot accept responsibility for any alterations caused by a third party occurring to the Beneficiary’s pages once installed. Such alterations include, but are not limited to additions, modifications or deletions.
The Provider can procure domain names on behalf of the Beneficiary as part of the services rendered. It is important to note that upon purchase, the domain names acquired shall become the exclusive property of the Beneficiary. The Beneficiary assumes full responsibility for the payment and timely renewal of these domain names. The Provider shall not be held accountable for any loss, cancellation, or other consequences arising from the Beneficiary's failure to make payment or renew the domains promptly. To ensure the uninterrupted ownership and usage of the domains, it is imperative for the Beneficiary to maintain accurate records of payment due dates and promptly complete the necessary renewal processes.
These Terms and Conditions supersede all previous representations, understandings or agreements. The Beneficiary’s acceptance via email, text or payment of an advance fee constitutes agreement to and acceptance of these Terms and Conditions.
